RULES OF THE MCINTOSH COUNTY GEORGIA REPUBLICAN PARTY (GA), INC.

 

ARTICLE I
NAME, PURPOSE, AND FUNCTIONS

A. The organization shall be known and referred to as the McIntosh County Georgia Republican Party (GA), Inc.
B. The purpose of the McIntosh County Georgia Republican Party (GA), Inc. shall be to develop, foster, advance, and perpetuate the principles of the Republican Party, and to support and otherwise do all within its power to ensure the election of all Republican nominees for public office whose names appear on the general election and any special election or other regular election ballots in McIntosh County.
C. The McIntosh County Georgia Republican Party (GA), Inc., consisting of its members, shall serve as the central and unified authority and representative body of the Republican platform and policies within McIntosh County. It shall function to assist and endeavor to develop, implement, encourage, educate, and create Republican principles within McIntosh County; and, it shall strive to recruit and elect qualified Republican candidates to every available public office.

 

ARTICLE II

PARTY MEMBERSHIP
A. Membership in the Party shall be open to all legal and qualified registered voters who subscribe to the principles of the Republican Party.
B. Members over the age of twenty-five (25) shall pay yearly dues in an amount to be established by the Executive Committee.
C. Members of the age twenty-five (25) and under shall have yearly dues waived for one (1) year.
D. All Executive Committee Officers, Precinct Chairpersons, and Committee Chairpersons shall be current dues paying members in good standing and registered, resident electors of McIntosh County.
E. McIntosh County Georgia Republican Party (GA), Inc. shall meet at least quarterly at the call of the Chairperson.
F. The Annual Meeting of the McIntosh County Georgia Republican Party (GA), Inc. shall be held in January at the time of the regularly scheduled meeting to transact any business which may be brought before the meeting.

QUORUM
The voting members in attendance, phone in, via Zoom or limited proxy issued and filed by the Secretary, of any meeting, with a minimum of five (5) members of the Executive Committee, shall constitute a quorum for the transaction of business.

​NOTICE OF MEETING
Official meetings shall be held upon written notice setting forth the agenda, including minutes from the prior meeting, and containing notification of items to be voted on which shall be announced no fewer than five (5) days prior to the meeting on the call of the Chairperson, the call of a majority of the Executive Committee or upon written request of one-third (1/3) of the voting members. Electronic communication shall be considered the same as “written notice”. The requirement of five (5) days notice does not apply to Committee meetings, work sessions, or nonbinding votes and informal surveys.

​ARTICLE III
ELECTIONS

The Officers shall be the governing body of the McIntosh County Georgia Republican Party (GA), Inc., (except while the McIntosh County Convention of the McIntosh County Georgia Republican Party (GA), Inc. is in session) which is a political organization and political party as defined by Georgia law. The Officers exercise county-wide control over Party affairs. Each Officer must be a resident registered elector of McIntosh County and a dues paying member in good standing. Any person wishing to run for any office must make arrangements to present themselves to the Nominating Committee prior to the County Convention to assure that they are qualified to run for office. The Nominating Committee shall vet on the spot any nominee from the floor to assure that they are qualified to run for office. Any nominee who has met the previous criteria and has a compelling reason to be absent from the Convention need not be present to be nominated.
The officers consist of:
1. Chairperson
2. First Vice Chairperson
3. Second Vice Chairperson
4. Secretary
5. Assistant Secretary
6. Treasurer

7. Assistant Treasurer
8. Sergeant-at-Arms
9. Parliamentarian (optional and non-voting)

​DUTIES
A. Chairperson: It shall be the duty of the Chairperson to be the Chief Executive Officer of the Executive Committee, and appoint interim County Convention Committees and their respective Chairpersons, subject to the approval of the Executive Committee.
B. First and Second Vice Chairpersons: It shall be the duty of the Vice Chairpersons to act for the Chairperson in the event of his or her absence from any Executive Committee Meeting, and assist the Chairperson in any way delegated by the Chairperson. The First Vice Chairperson will operate as the Party Operations Officer and shall be a permanent member of the Rules Committee. The Second Vice Chairperson shall operate as the Candidate Recruitment Officer and be a permanent member of the Nominating Committee.
C. Secretary: It shall be the duty of the Secretary to take full and complete minutes of every Executive Committee Meeting and Membership Meeting and prepare them for presentation at the appropriate time, handle all correspondence and mailings of the Executive Committee, and perform such duties the Chairperson may assign.
D. Assistant Secretary: It shall be the duty of the Assistant Secretary to perform the Secretary’s duties in his or her absence and perform such duties the Secretary may assign.

E. Treasurer: It shall be the duty of the Treasurer to handle all financial matters relating to the business of the McIntosh County Georgie Republican Party (GA), Inc. under the supervision of the Chairperson and disburse funds in a manner which has been approved for disbursement by the Executive Committee.
F. Assistant Treasurer: It shall be the duty of the Assistant Treasurer to perform the Treasurer’s duties in his or her absence, perform such duties the Treasurer may assign and assist the Chairperson in an annual audit prior to the Annual Meeting.
G. Sergeant-at-Arms: It shall be the duty of the Sergeant-at-Arms to be responsible for preserving order at meetings and other duties as requested by the Chairperson.
H. Immediate Past Chairperson: It shall be the duty of the Immediate Past Chairperson to advise the Executive Committee on past day to day operations.
I. Precinct Chairpersons: Precinct Chairpersons shall be responsible to serve the interest and needs of their respective precinct and represent those interests and needs to the Executive Committee as a whole. Further, they are to actively recruit other Republicans living within their precinct to become active within the McIntosh County Georgia Republican Party (GA), Inc. They will also perform such other duties that may be assigned to them by the Chairperson.

J. Parliamentarian: It shall be the duty of the Parliamentarian to be advisor to the Chairperson.

REMOVAL FROM OFFICE, VACANCIES
A.  Any Officer may be removed from the McIntosh County Georgia Republican Party (GA), Inc. for egregious acts or criminality and moral turpitude by a two thirds (2/3) vote of members present at any duly called meeting of the McIntosh County Georgia Republican Party (GA), Inc. However, such individual must be given written notice of such meeting, sent at least twenty (20) days in advance thereof, setting forth the grounds, and such individual must be given the opportunity to be present and to be heard in person and/or by any representative of his choice.
Officers may be considered for removal as described above or for any other such
causes as may be determined by the Officers, such as:
1.  Failure to perform duties of his office for a period of three (3) successive duly called meetings.
2.  All Officers are expected to support the official qualified candidates of the Republican Party in all contested general elections and non-contested Republican Party elections. Public service of any candidate in opposition to the official Republican candidate in a general election by an elected officer shall constitute conduct detrimental to the best interest of the Party.
B.  Upon written petition by 15% or more of Members requesting removal of an

Officer, consideration for removal will be given by the Executive Committee.
C.  Appeals of removal from office may be addressed to the District Committee. If McIntosh County is split between more than one (1) Congressional District, the appeal must be made to the State Executive Committee.
D.  Any vacancies caused by death, resignation, continued failure to perform, or termination of residence within the County, may be appointed by the Officers. The Chairperson or Acting Chairperson may call a meeting within thirty (30) days of the Officers to fill the vacancy.

ARTICLE IV
ORGANIZATION OF THE EXECUTIVE COMMITTEE

There shall be a sub-committee of the Party designated as the “Executive Committee” which shall perform the duties of the Officers between meetings. In this capacity, the Executive Committee shall act as the day-to-day administrative and governing body of the Republican Party within the County.

The Executive Committee shall consist of all of the Officers of the Party, plus the Precinct Chairpersons and the Immediate Past Chairperson (non-voting).
A.  Any member of the Executive Committee may be removed for cause as listed in Article III.
B.  Appeals on removal from office may be addressed to the District Committee as listed in Article III.
C.  Any vacancies caused by death, resignation, continued failure to perform, or termination of residence within the County may be appointed by the officers as listed in Article III.

 

ARTICLE V
COUNTY CONVENTIONS AND MASS MEETINGS

A.  Pursuant to an official call of the Georgia Republican Party Executive Committee, County Conventions and Precinct Mass Meetings shall be held in each odd-numbered year to conduct business including, but not limited to, electing party leadership. Subject to a call from the Georgia Republican Party Executive Committee, additional County Conventions and Precinct Mass Meetings shall be held each presidential election year to conduct business including but not limited to election of Delegates and Alternate Delegates to the District and State Republican Conventions.
B.  Each Election District (Precinct) shall elect its own Chairperson and such other officers as it deems necessary.
C.  If, at a Precinct Caucus, any precinct does not elect a full delegation, any unfilled delegate or alternate positions for that precinct may not be filled by any other precinct or by the Precinct Caucus. No alternate position may be filled until all delegate positions are filled.
D.  Unless otherwise stated in Call of the Georgia Republican Party, each Precinct shall be entitled to one (1) delegate and one (1) alternate to the County Convention. Each Precinct shall be intitled to one (1) additional delegate and one (1) additional alternate for each 50 votes and major fraction thereof (26 or more) cast for the Republican candidate for President in the immediately preceding presidential general election.
E.  If residents of an Election District (Precinct) are unable to attend in person, but still desire to participate as a Delegate/Alternate Delegate to the County Convention, they may fill in the registration form and have someone present it, along with any fee, to the Registration Committee.
F.  Delegates and Alternate Delegates to the District and State Conventions shall be elected at Mass Meetings held in conformity with the Call of the Georgia Republican State Committee. Only Delegates and Alternate Delegates elected at a Precinct Mass Meeting may participate in a County or State Convention. A Delegate must commit to fulfilling the duties and responsibilities of the position. In the event the Delegate cannot perform his or her duties, the Alternate Delegate shall fulfill the duties.
G.  Only qualified, registered, resident electors of a given Precinct may vote or be elected as a Precinct Officer or a Delegate or Alternate Delegate to the County Convention.
H.  Any Precinct Officer must be a current dues paying member in good standing of the McIntosh County Georgia Republican Party (GA), Inc.
I.  No official business may be transacted at any Convention or Mass Meeting while any of its temporary or permanent committees are in session.
J.  Robert’s Rules of Order shall govern all deliberations of the County Conventions and Precinct Mass Meetings, and their respective committees, except to the extent that they are modified by the Georgia Republican Party rules, by these Rules, or by a majority vote of said Convention Mass Meetings or committee in session, being present.

 

ARTICLE VI
AMENDMENT OF RULES

A.  The McIntosh County Georgia Republican Party (GA), Inc. adopts the Call of the Georgia Republican Party as the Rules and Regulations governing the conduct of the County Meeting or Convention held during the period the Call is in effect. In the event of a conflict with the State Rules, the State Rule shall prevail.
B.  These rules may be amended by a two-thirds (2/3) vote of the Members of the McIntosh County Georgia Republican Party (GA), Inc. present at a meeting called by the Executive Committee, providing that the proposed amendment shall have been read at the previous regular meeting and communication shall have been given at least fourteen (14) days in advance of when such amendment is to be voted upon. Members may request a limited proxy vote application from the party secretary up to five (5) days in advance of the meeting where any rule change is to be voted on by the membership.
